End User License Agreement (“EULA”)

1. Terms

By purchasing and accessing the PatriotDirect Functional Medicine Training Program (“Program”) and the Online Training Manuals (“Manuals”) and Verification Lessons and Quizzes (“Courses”) (collectively, “Materials”) offered herein, you are agreeing to the terms of this EULA and compliance with all applicable laws and regulations. If you do not agree with any of these terms, you should not purchase or access the Materials. The Materials are protected by applicable copyright and trademark law.

This EULA incorporates by reference all of the Terms of Use and Privacy Policy. In the event of a conflict between the EULA and the Terms of Use or Privacy Policy, the terms of the EULA shall govern.

2. Use of License

• This License is limited to registered users who have created username and password credentials.
• Users may not share or disclose their username or password with any other persons.
• This is a non-exclusive, limited, paid license solely for the User to access the Materials through the Program, to read the Training Manuals and to use the Verification Lessons and Quizzes as provided for in the Program.
• The License shall remain in effect as long as the User is fully paid up on their subscription and remains in compliance with the terms set forth herein.
• Use of the Materials is for personal and professional educational use only.
• Under this license you may not:
  1. Modify, copy or download the Materials;
  2. use the Materials for any commercial purpose, or for any public display (commercial or non-commercial);
  3. attempt to decompile or reverse engineer any software contained on the Website or Materials;
  4. remove or penetrate any digital protection technologies contained in the Materials.
  5. remove any copyright or other proprietary notations from the Materials; or
  6. transfer the Materials to another person or 'mirror' the Materials on any other server.
• This license shall automatically terminate if you violate any of these restrictions and may be terminated by PatriotDirect Functional Medicine Training Program, LLC (“Company”) at any time.

3. Disclaimer

The Materials are provided 'as is'. Company makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Company does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the Materials.

Completion of the Program does not constitute a formal certification from an accrediting entity.  Statements in the Materials have not been evaluated by the United States Food and Drug Administration or other federal or state accreditation entities. 

Content made available in the Program or Materials that is accessed by a non-medical provider is not intended to replace the advice or care of a reader’s personal physician or health care professional. Any user of the Program should consult with their medical provider regarding their own health care needs.  Use of the Materials or Program shall in no way create any physician-patient relationship.

4. Limitations

In no event shall the Company be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Materials.

5. Revisions and Errata

The Materials may include technical, typographical, or photographic errors. The Company does not warrant that any of the Materials are accurate, complete, or current. The Company may make changes to the Materials at any time without notice. The Company does not, however, make any commitment to update the Materials.

6. Links

The Company is not responsible for the contents of any third-party sites linked to in the Materials. The inclusion of any link does not imply endorsement by the Company of the site. Use of any such linked website is at the user's own risk.

7. Waiver

Any waiver by either party of a breach of any provision of this Agreement must be in writing and shall not be deemed a waiver of any subsequent breach. No delay or omission in the exercise or enforcement of any right or remedy provided in this Agreement or by law by either party shall be construed as a waiver of such right or remedy.

8. Severability

In the event that any provision or section of this Agreement shall be held to be invalid by any court, such holding shall not affect in any respect whatsoever the validity of the remainder of the Agreement.

9. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Massachusetts (excluding conflict of laws rules).

10. Entire Agreement; Amendment

This Agreement contains and constitutes the entire agreement between the parties hereto with respect to the transactions which are the subject of this Agreement and supersedes and cancels all previous negotiations, agreements, commitments, and writings relating to said transactions.
